자세히 보기本公司內部稽核之目的,在於協助董事會及管理階層檢查及覆核內部控制制度之執行情形、衡量營運之效果及效率、財務及非財務報導之可靠性、與相關法令規章之遵循情形,並適時提供改進建議,以確保內部控制制度得以持續有效實施及作為檢討修正內部控制制度之依據,以促進本公司之健全經營。
1.本公司稽核室隸屬於董事會,配置內部稽核主管一名及稽核人員若干,並接受審計委員會督導。
2.本公司內部稽核主管之任免,須經審計委員會同意,並提董事會決議,並於事實發生日之即日起算二日內將異動原因及異動內容,以網際網 路資訊系統申報金管會備查。
3.內部稽核人員之資格應符合法定之適任條件,並持續進修達規定時數。
4.本集團各子公司依規模、業務情況、管理需要及相關法令之規定,配置適任及適當之專任內部稽核人員,本公司內部稽核主管得視業務需要,調動集團內各公司之內部稽核人員辦理本公司及子公司之內部稽核工作。
5.本公司於年度結束後依「董事及經理人績效評估辦法」對內部稽核主管進行績效評核,經薪資報酬委員會審議同意後,提報董事會備查;內部稽核主管薪資報酬之核定,由薪資報酬委員會審議同意後提交董事會決議;其他內部稽核人員之績效考核及薪酬核定,依本公司人事績效考核制度及薪酬制度規定辦理,由稽核主管簽報至董事長核定。
1.本公司內部稽核人員應秉持超然獨立之精神,以客觀公正之立場,盡專業上應有之注意,確實執行其職務。內部稽核主管除定期向審計委員會報告稽核業務外,並列席董事會報告。
2.本公司稽核室依風險評估結果擬訂年度稽核計畫,報請董事會審核通過後據以確實執行,修正時亦同。
3.年度稽核計畫須包含金管會要求之稽核項目,並視需要執行專案稽核。內部稽核人員對於各稽核項目所發現之內部控制缺失及異常事項,應檢附工作底稿及相關資料,據實揭露於稽核報告並持續追蹤,以確定相關單位業已採取適當之改善措施為止。
4.稽核報告及追蹤報告依規定陳核後,於次月底前交付審計委員會查閱。內部稽核人員若發現重大違規情事或公司有受重大損害之虞時,應立即作成報告陳核,並通知審計委員會。
5.本公司各單位及子公司每年定期自行評估內部控制制度,再由稽核室覆核各單位及子公司之自行評估報告,併同稽核室所發現之內部控制缺失及異常事項改善情形,作為董事會評估整體內部控制制度有效性及出具內部控制制度聲明書之主要依據。
6.本公司之稽核報告、追蹤報告、工作底稿及相關資料至少保存五年。
7.稽核室依規定格式,於下列時間以網際網路資訊系統申報金管會備查:
(1).年度終了前,申報次一年度稽核計畫。
(2).每年一月底前,申報稽核人員名冊及進修時數。
(3).每年二月底前,申報上一年度之年度稽核計畫執行情形。
(4).每年三月底前,申報上一年度之內部控制制度聲明書。
(5).每年五月底前,申報上一年度之內部控制制度缺失及異常事項改善情形。
